Ma's Donuts and More®

Welcome. These Terms and Conditions ("Terms") are an agreement between you and Ma's Donuts and More® ("Ma's Donuts", "we", "us"). They apply to:

  • our online ordering website at order.masdonuts.com,

  • the Ma's Donuts mobile app for iPhone and iPad, and

  • Ma's Donuts Rewards, our loyalty program.

By using our website or app, placing an order, or joining Ma's Donuts Rewards, you accept these Terms. If you do not agree with them, please do not use our website, app, or services.

How we handle your personal information is covered separately in our Privacy Policy, which forms part of these Terms.

1. Your account

  • You must be at least 13 years old to create an account, and at least 18 to make a purchase.

  • Please give accurate information when you register, and keep it up to date. We rely on your phone number and email address to reach you about your order.

  • You are responsible for keeping your password confidential and for activity that happens under your account. Tell us right away at Order@MasDonuts.com if you believe someone else has access to it.

  • One account per person. Accounts are personal to you and cannot be sold or transferred.

  • You can delete your account at any time from within the app under Account → Settings, or by emailing us. Deleting your account also cancels any unused points, rewards, and coupons attached to it.

  • We may suspend or close an account that is being used fraudulently, abusively, or in breach of these Terms.

2. Ordering and pickup

  • Our online ordering platform operates 24 hours a day, 7 days a week.

  • You can schedule an order in advance and choose your preferred pickup date and time.

  • Orders marked ASAP are typically ready for pickup within 15 minutes of confirmation. This is an estimate, not a guarantee, and busy periods may take longer.

  • When your order is confirmed we send an email receipt, and a text message with the estimated pickup time if you have given us your mobile number.

  • All orders are for pickup at the location you select. We do not deliver through the website or app.

  • Please bring your order confirmation, and be ready to give the name on the order.

  • An order is an offer to buy. We accept it when we confirm it. We may decline or cancel an order, including where an item is unavailable, where there is an error in the price or description, or where we suspect fraud. If we cancel a confirmed order, we refund it in full.

  • Uncollected orders. Please collect your order within 1 hour of the pickup time. Food that is not collected may be discarded, and uncollected orders are not automatically refunded. If you are running late or cannot make it, contact the shop.

Pre-order items

  • Certain menu items are only available for pre-order and must be picked up within specified dates.

  • You are responsible for selecting the appropriate pickup date for pre-order items.

  • Pre-order items may require more notice, and may be non-refundable once preparation has begun. Any such condition is shown at the time you order.

3. Prices, payment, and taxes

  • Prices are shown in US dollars and exclude tax unless stated otherwise. Applicable sales tax is calculated and shown before you pay.

  • Prices, menu items, and availability can change at any time, and may differ between our shops and our online menu.

  • Card payments are processed by Square. You can also pay with Apple Pay in the app, or with a Ma's Donuts gift card. We do not receive or store your full card number.

  • By submitting a payment you confirm you are authorized to use that payment method.

  • Any tip you add is voluntary and goes to our staff.

  • Pricing errors. If an item is listed at an obviously incorrect price, we are not required to honor it. We will contact you to confirm or cancel the order, and refund you if it is cancelled.

4. Cancellations and refunds

  • To cancel an order, contact us as soon as possible at Order@MasDonuts.com or by calling the shop.

  • Cancelled orders may incur a 5% cancellation fee, at Ma's Donuts' discretion, to cover processing fees charged by the credit card processing company.

  • Orders that have already been prepared may not be able to be cancelled.

  • If something is wrong with your order, please tell us within 24 hours and we will make it right, by replacing the item or refunding it. Refunds go back to the original payment method and can take several business days to appear.

  • Refunds do not reverse points already earned, and points or coupons used on a refunded order are not automatically restored. Contact us and we will look into it.

5. Gift cards

  • Ma's Donuts gift cards are issued and held by Square and can be used toward purchases at participating Ma's Donuts locations and through our website and app.

  • Gift cards do not expire and carry no dormancy, inactivity, or service fees.

  • Gift cards are not redeemable for cash except where required by law.

  • Treat a gift card like cash. We are not responsible for cards that are lost, stolen, or used without your permission.

  • Gift cards can be reloaded in the app, or in store.

6. Ma's Donuts Rewards

Ma's Donuts Rewards is our free loyalty program. It is offered at our discretion and these Terms govern it.

Joining

  • Membership is free, open to individuals aged 13 and over, and limited to one account per person.

  • You earn and redeem by presenting your member code in the app at the counter, or by being signed in when you order online.

  • Membership is personal to you. Points, rewards, and coupons have no cash value, are not property, cannot be bought, sold, transferred, or combined between accounts, and cannot be redeemed for cash.

Earning points

  • You earn 10 points for every $1 spent on qualifying purchases, multiplied by your current tier multiplier. A Gold member earning at 1.2×, for example, earns 12 points per dollar.

  • Points are earned on the amount you actually pay, after any discounts, and exclude tax, tips, gift card purchases, and any items we identify as non-qualifying.

  • Points normally appear on your account shortly after a purchase completes. Points shown before a purchase is final are an estimate.

  • You earn two kinds of points: status points, which determine your tier, and reward points, which are the balance you spend on rewards.

Tiers

Your tier is based on the status points you earn during the calendar year, and sets the rate at which you earn:

  • Bronze — from 0 status points. Earn at 1×.

  • Silver — from 1,000 status points. Earn at 1.1×.

  • Gold — from 1,500 status points. Earn at 1.2×.

  • Platinum — from 5,000 status points. Earn at 1.5×.

  • Diamond — from 10,000 status points. Earn at 2×.

You move up a tier as soon as you reach its status point threshold, and the new multiplier applies to purchases from that point on.

Annual status reset. Status points reset each year on January 1. At the reset, Diamond members move to Silver and all other members move to Bronze, and status points start again from zero for the new year. Your reward points balance is not affected by the annual reset — only your tier and status points change. Tier thresholds and multipliers can change; the current ones are always shown in the app.

Redeeming rewards and coupons

  • Reward points can be redeemed for the rewards shown in the app, while they are available and while you have enough points.

  • Redeeming creates a coupon in your account. Coupons are single use, cannot be combined with other coupons on the same order unless we say so, and are void once redeemed or expired.

  • Coupons and offers may carry their own conditions, such as an expiry date, a minimum spend, or specific items. Those conditions are shown with the offer.

  • Redemptions are final. Points spent on a coupon are not refunded if the coupon expires unused.

  • Do reward points expire?  Reward points expire after 12 months of point generation

Changes, and leaving the program

  • We may change how points are earned or redeemed, adjust tiers and multipliers, change or withdraw rewards, or end the program. If we end the program or make a change that significantly reduces the value of points you have already earned, we will give reasonable notice through the app, by email, or on our website, and a reasonable period to use your points.

  • We may remove points or close an account where points or coupons were obtained by error, fraud, or in breach of these Terms.

  • If you close your account, or we close it for breach, unused points, rewards, and coupons are cancelled and cannot be reinstated.

7. Text messages and email

  • If you give us your mobile number, we may text you about your order, and we will text you a one-time code if you ask to reset your password or verify your account. These are service messages and are part of using an account.

  • We send marketing texts and emails only where you have agreed to receive them. Reply STOP to any marketing text to stop receiving them, or HELP for help. You can unsubscribe from marketing email using the link in any marketing email.

  • Message and data rates may apply, and message frequency varies.

  • Opting out of marketing does not stop service messages about an order you have placed.

8. Food, allergens, and product information

  • Our products are made in a kitchen that handles wheat, eggs, milk, soy, peanuts, and tree nuts. We cannot guarantee that any item is free from a particular allergen, and cross-contact is possible.

  • If you have a food allergy or intolerance, please speak to staff before ordering. Do not rely on the website or app alone.

  • Product images are for illustration. Ingredients and recipes can change, and the item you receive may differ in appearance.

9. Using our website and app

We grant you a personal, non-exclusive, non-transferable, revocable license to use our website and app for ordering from Ma's Donuts. You agree not to:

  • use the website or app for anything unlawful, or to place fraudulent or fake orders;

  • copy, modify, reverse engineer, decompile, or create derivative works from the app, except where the law says you may;

  • use bots, scrapers, or automated means to access, monitor, or copy our website, app, or menu data;

  • interfere with or attempt to gain unauthorized access to our systems, accounts, or networks; or

  • resell our products or our services without our written permission.

10. Our content and trademarks

The Ma's Donuts and More® name and logo, our website and app, and their content, design, text, graphics, and photographs are owned by us or our licensors and are protected by intellectual property laws. Nothing in these Terms transfers any of those rights to you. You may not use our name or logo without our written permission.

11. App Store terms

If you downloaded our app from the Apple App Store, the following also applies:

  • These Terms are between you and Ma's Donuts only, not with Apple. Apple is not responsible for the app or its content.

  • Your license to use the app is limited to Apple devices you own or control, as permitted by the App Store Terms of Service.

  • Apple has no obligation to provide support or maintenance for the app.

  • If the app fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation with respect to the app.

  • Apple is not responsible for addressing any claim relating to the app, including product liability, regulatory, or intellectual property claims.

  • Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

12. Disclaimers

We work hard to keep our website and app accurate and available, but we provide them "as is" and "as available". To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the website or app will be uninterrupted, error free, secure, or free of viruses, or that menu information, prices, availability, points totals, or pickup times will always be accurate or current.

Nothing in these Terms excludes or limits any liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, or for fraud.

13. Limitation of liability

To the fullest extent permitted by law, Ma's Donuts and its owners, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, lost data, or loss of goodwill, arising out of or relating to your use of our website, app, products, or the rewards program.

To the fullest extent permitted by law, our total liability for any claim arising out of or relating to these Terms is limited to the greater of the amount you paid for the order giving rise to the claim, or twenty-five US dollars ($25).

14. Indemnification

You agree to indemnify and hold Ma's Donuts harmless from any claims, losses, liabilities, and expenses, including reasonable legal fees, arising out of your misuse of our website or app, your breach of these Terms, or your violation of any law or the rights of a third party.

15. Changes to these Terms

We may update these Terms from time to time. When we do, we will change the "Last updated" date at the top of this page and post the revised Terms here. If a change is material, we will give notice through the app, by email, or on our website before it takes effect. Continued use of our website, app, or the rewards program after a change takes effect means you accept the revised Terms.

16. Disputes, arbitration, and class action waiver

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS. IT REQUIRES YOU AND MA'S DONUTS TO TRY TO RESOLVE DISPUTES INFORMALLY FIRST, AND THEN TO USE INDIVIDUAL BINDING ARBITRATION INSTEAD OF COURT. IT WAIVES YOUR RIGHT TO A JURY TRIAL AND YOUR RIGHT TO TAKE PART IN A CLASS ACTION. YOU CAN OPT OUT WITHIN 30 DAYS.

16.1 First, tell us about it

Most problems can be sorted out quickly, and we would rather fix your order than argue about it. Before starting arbitration, you must send us a Notice of Dispute, and we must do the same before starting one against you.

Send yours to Order@MasDonuts.com, or by mail to the address in section 18, including:

  • your full name, and the email address or phone number on your account;

  • the date and order number, if the dispute is about an order;

  • a description of the problem in your own words; and

  • what you would like us to do to put it right.

The Notice must be personally signed by you, and must relate to your own claim. A notice signed only by a lawyer, or a form notice sent on behalf of a group, does not count. If we send you a Notice of Dispute, it will be signed by one of our representatives and will contain the same kind of detail.

Both of us then have 60 days to try to resolve it, and either of us may ask for an informal phone call to talk it through. Neither of us may begin arbitration until those 60 days have passed. Any deadline for bringing a claim is paused while the 60 days run. Completing this step is a genuine requirement, not a formality, and either of us may ask a court to pause an arbitration that was started without it.

16.2 Agreement to arbitrate

If we cannot resolve the dispute informally, you and Ma's Donuts agree that any dispute, claim, or controversy arising out of or relating to these Terms, our website, our app, our products, or the Ma's Donuts Rewards program will be resolved by binding individual arbitration rather than in court. This survives the closing of your account and the ending of these Terms.

Arbitration is administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules and, where applicable, its Mass Arbitration Supplementary Rules, available at adr.org. The Federal Arbitration Act governs the interpretation and enforcement of this section. The arbitrator's award is final and may be entered as a judgment in any court with jurisdiction.

16.3 What this section does not cover

  • Either of us may bring an individual claim in small claims court, so long as it stays there and stays individual.

  • Either of us may ask a court for an injunction to protect intellectual property or to stop unauthorized access to our systems.

16.4 Individual basis only

Arbitration is conducted on an individual basis only. Neither of us will bring or take part in a class, collective, consolidated, or representative action, and the arbitrator may not preside over any form of representative proceeding or award relief to anyone who is not a party. The arbitrator may award relief only to the individual party seeking it, and only so far as needed to resolve that party's own claim. This paragraph does not prevent the batching described in 16.5, which exists to make claims easier to resolve, not to combine them.

16.5 Coordinated claims

If 25 or more Notices of Dispute or arbitration demands raising substantially similar claims are filed against us by or with the coordination of the same lawyer or group of lawyers, they will be resolved in batches of up to 50 at a time:

  • The claimants' lawyers select 25 for the first batch and we select 25, and only those claims are filed and only their fees become payable.

  • A single arbitrator hears each batch, and the batch is resolved before the next one begins.

  • Any deadline for bringing a claim is paused for every claim awaiting its batch.

  • After the first two batches, either side may ask for a global mediation, and we will take part in good faith.

  • If a court or the AAA finds this batching process unenforceable, it applies to the extent it can, and the rest of this section stands.

This exists so that large groups of similar claims get decided fairly and in a reasonable time, rather than being priced out or drawn out on either side.

16.6 Your right to opt out

You can decline this arbitration agreement. Email Order@MasDonuts.com with the subject line "Arbitration Opt-Out", including your full name, the email address or phone number on your account, and a statement that you are opting out. We must receive it within 30 days of the date you first accept these Terms, or of the date we notify you that this section has been added, whichever is later.

Opting out affects nothing else. You keep your account, your points, and full use of our website, app, and rewards program, and we will not treat you differently for it. If you opt out, disputes between us go to court as described in 16.9.

16.7 Fees and procedure

  • Arbitration is held in Newport County, Rhode Island, or, at your choice, by telephone, by video, or decided on written submissions alone.

  • Filing, administration, and arbitrator fees follow the AAA Consumer Arbitration Rules. Where those rules require us to pay, we pay, and for any claim under $10,000 we will cover your share of the filing fee if you ask us to.

  • Each of us pays our own attorneys' fees, unless the arbitrator awards them under applicable law.

  • The arbitrator may award any relief a court could award to you individually under applicable law, and must apply these Terms.

16.8 Who decides what

The arbitrator decides all questions about the interpretation, scope, and enforceability of this section, except that a court, and not an arbitrator, decides any challenge to the class action waiver in 16.4 or to the batching process in 16.5. If a court finds the class action waiver unenforceable as to a particular claim or request for relief, that claim or request is severed and heard in court under 16.9, and the rest of this section continues to apply to everything else.

16.9 Governing law, and venue if arbitration does not apply

These Terms are governed by the laws of the State of Rhode Island, without regard to its conflict of laws rules. If a dispute is not subject to arbitration, including because you opted out or because it falls within an exception above, it will be brought exclusively in the state or federal courts located in Newport County, Rhode Island, and both of us consent to the jurisdiction and venue of those courts.

17. General

  • If any provision of these Terms is found unenforceable, the rest remains in effect.

  • If we do not enforce a provision, that is not a waiver of our right to enforce it later.

  • These Terms, together with our Privacy Policy, are the entire agreement between you and Ma's Donuts about our website, app, and rewards program, and replace any earlier terms.

  • You may not assign these Terms. We may assign them in connection with a sale or reorganization of our business.
